1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your use of the Aimlake Production website (production.aimlake.com) and the photography and videography services ("Services") provided by Aimlake Production, a division of Aimlake Inc. ("Company," "we," "us," or "our"). By accessing our website or engaging our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or Services.

2. Services

Aimlake Production provides professional photography and videography services, including but not limited to:

  • Corporate and event photography and videography
  • Product and e-commerce photography
  • Real estate and architectural photography
  • Portrait and headshot sessions
  • Food and restaurant photography
  • Promotional and marketing video production
  • Social media content creation
  • Aerial and drone footage
  • Post-production editing and colour grading

The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project agreement, proposal, or invoice provided to the Client prior to the commencement of work.

3. Booking and Scheduling

3.1 Booking Confirmation

A booking is considered confirmed only upon receipt of a signed project agreement (where applicable) and any required deposit payment. Verbal or email inquiries alone do not constitute a confirmed booking.

3.2 Scheduling

We will make every reasonable effort to accommodate your preferred dates and times. However, availability is subject to our schedule and cannot be guaranteed until a booking is confirmed.

3.3 Location

We serve the Greater Toronto Area, including Toronto, Scarborough, North York, Markham, Pickering, Ajax, Whitby, Oshawa, Bowmanville, Clarington, Courtice, Brooklin, Uxbridge, Port Perry, Vaughan, Richmond Hill, Aurora, Newmarket, Stouffville, King City, and Thornhill. Travel fees may apply for locations outside our standard service area.

4. Pricing and Payment

4.1 Pricing

All prices are quoted in Canadian Dollars (CAD) and are subject to applicable taxes (HST). Pricing is based on the scope of work outlined in the project agreement and may vary depending on project complexity, duration, location, and deliverables.

4.2 Deposits

A non-refundable deposit may be required to secure your booking. The deposit amount will be specified in your project agreement or invoice. The remaining balance is due upon completion of the project or as outlined in the payment schedule.

4.3 Payment Methods

We accept payment via e-Transfer, bank transfer, credit card, and other methods as communicated at the time of booking.

4.4 Late Payments

Invoices are due within 14 days of the invoice date unless otherwise agreed upon. Late payments may be subject to a late fee of 2% per month on the outstanding balance. We reserve the right to withhold deliverables until all outstanding payments are received.

5. Cancellation and Rescheduling

5.1 Client Cancellation

  • More than 7 days before the scheduled date: The deposit is forfeited, but no additional charges apply.
  • 7 days or less before the scheduled date: The Client is responsible for 50% of the total project fee.
  • 48 hours or less / No-show: The Client is responsible for 100% of the total project fee.

5.2 Rescheduling

Rescheduling requests made more than 48 hours before the scheduled date will be accommodated at no additional charge, subject to availability. Rescheduling within 48 hours may be subject to a rescheduling fee.

5.3 Company Cancellation

In the unlikely event that we must cancel a confirmed booking due to circumstances beyond our control (illness, equipment failure, severe weather, or other force majeure events), we will offer to reschedule the session at no additional cost or provide a full refund of any payments made.

6. Intellectual Property and Usage Rights

6.1 Copyright Ownership

All photographs, videos, and creative works produced by Aimlake Production remain the intellectual property of Aimlake Inc. unless otherwise specified in a written agreement. Copyright is retained by the Company in accordance with the Canadian Copyright Act.

6.2 Client License

Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the delivered photographs and videos for the purposes outlined in the project agreement. This typically includes personal use, internal business use, and digital marketing. Any additional usage beyond the agreed scope requires prior written consent.

6.3 Portfolio and Promotional Use

Unless explicitly agreed otherwise in writing, Aimlake Production retains the right to use any photographs and videos from the project for portfolio display, website content, social media, marketing materials, award submissions, and educational purposes.

6.4 Restrictions

The Client may not resell, sublicense, or distribute the delivered media to third parties without prior written consent from Aimlake Production. Altering, manipulating, or removing watermarks or metadata from delivered files without permission is prohibited.

7. Deliverables

7.1 Turnaround Time

Estimated delivery times will be communicated at the time of booking. Standard turnaround is 10-15 business days for photography and 15-25 business days for videography, depending on project scope. Rush delivery may be available at an additional cost.

7.2 Delivery Format

Final deliverables will be provided in digital format via secure online gallery, cloud storage link, or other agreed-upon method. Raw/unedited files are not included unless specifically agreed upon in writing and may incur additional charges.

7.3 Revisions

Minor revisions (colour adjustments, cropping, basic retouching) are included as outlined in the project agreement. Major revisions or re-edits beyond the agreed scope may incur additional charges.

7.4 File Storage

We retain project files for a period of 12 months following delivery. After this period, files may be archived or deleted. Clients are responsible for downloading and backing up their delivered files within this timeframe.

8. Client Responsibilities

The Client agrees to:

  • Provide accurate information about project requirements, locations, and timelines
  • Obtain necessary permissions for shooting at private properties, venues, or locations requiring access authorization
  • Ensure the safety and accessibility of the shooting location
  • Provide timely feedback and approvals as requested
  • Obtain model releases from any individuals appearing in the photographs or videos, where applicable
  • Communicate any specific requirements, restrictions, or sensitivities prior to the shoot

9. Limitation of Liability

To the maximum extent permitted by Ontario and Canadian law:

  • Aimlake Production's total liability for any claim arising from our Services shall not exceed the total fees paid by the Client for the specific project in question.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities.
  • While we take every precaution to safeguard your media, we are not liable for loss or damage to files caused by equipment failure, theft, corruption, or circumstances beyond our reasonable control.
  • We are not responsible for the actions, appearance, or behaviour of subjects, guests, or third parties during a shoot that may affect the final results.

10. Indemnification

The Client agrees to indemnify and hold harmless Aimlake Production, Aimlake Inc., and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from the Client's use of delivered media, breach of these Terms, or violation of any third-party rights.

11. Force Majeure

Neither party shall be liable for failure or delay in performance resulting from acts of God, natural disasters, pandemics, government actions, civil unrest, severe weather, power outages, or other events beyond reasonable control. In such cases, the affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or our Services shall be resolved through the courts of Ontario.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with any project agreement, proposal, or invoice, constitute the entire agreement between the Client and Aimlake Production regarding the Services. Any modifications to these Terms must be made in writing and agreed upon by both parties.

15. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our website or Services after such changes constitutes your acceptance of the revised Terms.
